Terms & Conditions

1. Acceptance of Terms

By accessing or using the services provided by Emon Shah ("we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to all of these Terms, do not access or use our services.

We reserve the right to modify these Terms at any time. Your continued use of our services after any such changes constitutes your acceptance of the new Terms.

2. Services Provided

We offer professional web development services including but not limited to:

• Custom WordPress theme and plugin development
• Laravel application development
• E-commerce solutions
• Website optimization and maintenance
• Technical consultation and support

The scope of each project will be defined in a separate Statement of Work (SOW) or project proposal.

3. Payment Terms

Our payment terms are as follows:

• Projects under $1,000 require 100% payment upfront
• Projects between $1,000-$5,000 require 50% deposit with balance due upon completion
• Projects over $5,000 are billed in milestones with payment schedule outlined in the proposal

All invoices are due within 15 days of receipt unless otherwise specified. Late payments may be subject to interest charges of 1.5% per month on the outstanding balance.

4. Intellectual Property

Upon full payment, all rights to the final deliverables will be transferred to the client, except for:

• Proprietary frameworks or libraries developed by us
• Third-party assets licensed separately
• Background technology not specific to the client's project

We retain the right to display completed projects in our portfolio and marketing materials unless otherwise agreed in writing.

5. Client Responsibilities

As our client, you agree to:

• Provide all necessary materials and information in a timely manner
• Review deliverables and provide feedback within agreed timeframes
• Make timely payments as outlined in the payment terms
• Obtain all necessary licenses and permissions for materials provided
• Designate a primary point of contact for the project

6. Confidentiality

We agree to keep confidential all proprietary information received from the client that is marked as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

This obligation does not apply to information that: (a) was publicly known at the time of disclosure; (b) becomes publicly known through no fault of the recipient; (c) was rightfully known to the recipient prior to disclosure; or (d) is required to be disclosed by law.

7. Limitation of Liability

In no event shall Emon Shah be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your access to or use of or inability to access or use our services
• Any conduct or content of any third party on the services
• Any content obtained from the services
• Unauthorized access, use or alteration of your transmissions or content

Our total liability for any claims under these Terms shall not exceed the total amount paid by you to us during the six-month period preceding the claim.

8. Termination

Either party may terminate a project with written notice if the other party:

• Materially breaches these Terms and fails to cure such breach within 30 days after receipt of written notice
• Becomes insolvent or files for bankruptcy
• Engages in any illegal activity related to the project

Upon termination, the client shall pay for all services rendered and expenses incurred up to the termination date. Any prepaid amounts for services not yet rendered will be refunded.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Bangladesh, without regard to its conflict of law provisions.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Dhaka, Bangladesh.
